Terms of Service

These terms govern your use of ShareCards services as a user. Please read them carefully. This document is an electronic record and published in accordance with the provisions of the Information Technology Act, 2000, and the rules there under and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and generated by a computer system and does not require any physical or digital signatures.

Terms of Use

The website www.sharecards.in (the “Platform”) is owned, operated and managed by Venturebiz Promtions Private Limited, a private limited company incorporated in accordance with the provisions of the Indian Companies Act, 2013, and having its registered office situated at #2085/16, 2nd Floor, Spoorthi, Puttenahalli Main Road, JP Nagar 7th Phase, Bangalore-560078.

These terms of use (“Terms”) govern your use of the Platform, and for the purpose of these Terms, Venturebiz Promtions Private Limited, including its subsidiaries, its holding company, and its affiliates, may, wherever the context so requires, be also referred to as “Company”, “We”, “Us”, or “Our”, and the terms “You”, “Your”, or “User” refer to the user of the Platform. We value the trust you have placed in us, and hence, we maintain reasonable security standards for securing the transactions and your information.

Please read these terms carefully before you use the platform. If you do not agree to these terms, you may not use the services on the platform, and we request you uninstall the app and not access the platform. By even merely using/accessing the Platform, You shall be contracting with ShareCards, and You signify Your acceptance of these Terms and other policies (including but not limited to the cancellation & refund terms and published privacy policy (‘Privacy Notice’) as posted on the Platform and amended from time to time), which takes effect on the date on which You use the Platform and thereby create a legally binding agreement to abide by the same. Further, by furnishing Your personal information, You consent to the Platform accessing Your personal information for the purpose of enabling transactions. You also agree that you are interested in availing the services through the platform in accordance with these terms.

The User represents and undertakes

• ·That the documents and information provided are genuine and complete
• ·That the User shall not misrepresent their identity, business, or professional information on the platform
• ·To adhere to such other terms as may be applicable or displayed on the platform from time to time

General

a) Platform retains an unconditional right to modify or amend these Terms. You can determine when these Terms were last modified by referring to the ‘Last Updated’ legend above. You can access the latest version of these Terms at any given time on the Platform. You should regularly review the terms on the platform. Platform reserves the right to amend, suspend, discontinue or add any or all Services without prior notice and can add or remove relevant terms and conditions, if necessary.

b) Any updating of the terms as a consequence of changes in legal and regulatory compliances shall be made in compliance thereof. Your continued use of and access to the Platform shall be your consent to any changes made by us in these terms. In the event the modified terms are not acceptable to you, you should discontinue accessing the platform.

Access to Services

a) Purpose of the Platform
ShareCards is a digital platform that allows users to create, manage, and share digital business cards (also referred to as “DBC”) with other professionals, individuals, or businesses. Users can browse, receive, and save digital cards from registered Card Holders on the platform.

b) Platform Responsibility
The ShareCards Application only provides a platform to display and facilitate the sharing of digital business card information provided by Card Holders. The platform does not verify, supervise, or guarantee the accuracy of any information shared by Card Holders. All connections and interactions are initiated directly between users through the platform’s tools.

c) No Role in Transactions
The ShareCards Application is not a party to any arrangement, booking, or transaction between users. Any communication, agreement, or business interaction is strictly between the respective users.

d) Limited Right to Use
As a user, you are granted a personal, limited, non-exclusive, non-transferable, and revocable right to access and use the application only for viewing, creating, and sharing digital business cards, including:

• ·Creating and customising digital business card profiles
• ·Sharing digital cards via links, QR codes, or in-app tools
• ·Receiving and saving digital cards from other users
• ·Managing your contact list and card inbox
• ·(collectively referred to as “Services”)

e) Information Provided by Card Holders
Card details displayed on the platform are provided by the respective Card Holders. The recipient user is not responsible for verifying the accuracy of identity documents, certifications, or professional credentials shown on shared cards. The ShareCards Application does not take responsibility for incorrect or misleading information shared by a Card Holder.

f) Responsibility Disclaimer
Each Card Holder is solely responsible for:

• ·Accuracy of their business card information
• ·Professional credentials and designations claimed
• ·Contact details and availability
• ·Any services or offers communicated through their digital card

The platform does not guarantee the accuracy, quality, or authenticity of Card Holder information.

g) Usage Restrictions for Users
Users may only use the platform for personal or professional networking purposes. You may not copy, resell, misuse, or commercially exploit any content or listings available on the platform.

h) Platform Fee
Certain premium features on the ShareCards Platform may require a mandatory platform fee as communicated at the time of access. Such fees are non-refundable and non-cancellable under any circumstances, regardless of service usage, cancellation, or non-availability.

i) Availability of Services
Service availability may vary depending on account type, subscription plan, and platform updates. Users are advised to review their plan details before proceeding.

1) Listing and Visibility
Digital cards are displayed organically based on factors such as relevance, recency, and user activity. The platform does not discriminate among users or manipulate card visibility unfairly.

2) Platform as Facilitator
The ShareCards Application acts only as a facilitator to connect professionals and businesses through digital business cards. The platform is not responsible for:

• ·Service delays or technical outages
• ·Unsatisfactory interactions or business outcomes
• ·Disputes between users arising from off-platform transactions

All responsibilities for off-platform engagements rest solely between the respective users.

Age and Eligibility

The services are not available to minors, i.e., persons under the age of 18 (eighteen) years, undischarged insolvents, or any Users who are not competent to enter into a contract under the Indian Contract Act, 1872, unless otherwise provided hereunder or to anyone previously suspended or removed by ShareCards from availing the Services or accessing the Platform. You hereby represent that you are:

• ·Of legal age to form a binding contract
• ·Not a person barred from receiving services from the platform under applicable laws
• ·Competent to enter into a binding contract
• ·Not previously suspended or removed or disqualified for any reason from the platform. If you are under the age of 18, you shall use and access the platform only with the express consent of a parent or guardian and under their supervision.
• ·You shall not make negative, defamatory, misleading, deceptive, or libellous remarks about us or our brand, including Card Holders and their affiliates, on the platform or otherwise, or take any actions that could harm the ShareCards app’s reputation or dilute its trademarks. Additionally, You will not impose an excessive load on the Platform’s infrastructure or Our systems and networks.

User Account and Security

a) Account Registration and Information Collection
To access services on the ShareCards Application, you must register and create a user account (“Account”). During registration and usage of the platform, the application may collect personal information, including but not limited to:

• ·Name
• ·Mobile number
• ·Email address
• ·Photograph (if provided)
• ·Professional designation, company name, and business details
• ·Address and location details

The platform may also collect basic demographic information and usage-related data, such as:

• ·Pages viewed and actions taken within the app
• ·Card shares, views, and interactions
• ·Information required for platform functionality and security

This information is collected only to operate, improve, and manage the platform effectively.

b) Accuracy of Information and Account Responsibility
You are solely responsible for the information you provide while creating and using your account. You agree to ensure that all details submitted are true, accurate, complete, and up to date. If there is any change in your information, you must promptly update your account details through the platform or request assistance for correction. If any information provided is found to be false, misleading, incomplete, unauthorised, offensive, or inappropriate, or violates government policies, public order, or professional standards, the ShareCards Application reserves the right to:

• ·Restrict or deny access to services
• ·Suspend or terminate your account
• ·Refuse access to the platform without prior notice

Such action may be taken to ensure lawful, respectful, and appropriate use of the platform.

c) Account Security and Confidentiality
You are responsible for maintaining the confidentiality of your login credentials and account access details. The ShareCards Application shall not be liable for any loss, damage, or unauthorised activity resulting from:

• ·Sharing of credentials
• ·Failure to safeguard your account
• ·Unauthorised access beyond the platform’s control

You are advised to notify the platform immediately if you suspect any unauthorised use of your account.

Price of Services and Offers

a) The prices for premium features and plans listed on the ShareCards Application are determined by the platform and may vary depending on the plan type, duration, and features included. Users are advised to review the applicable pricing before subscribing to any plan.

b) All prices displayed on the platform are shown in Indian Rupees. Prices may be modified from time to time without prior notice. While the platform endeavours to display accurate pricing information, there may be inadvertent errors, and users may notify the platform for necessary corrections.

c) Users will be informed of any costs or charges communicated on the platform in relation to listed services; however, the final payable amount, including any applicable taxes or incidental charges, shall be as displayed at the time of purchase.

d) Any reference to expressions such as “best price” or “lowest price,” if used on the platform, is indicative in nature and subject to plan availability. The platform expressly disclaims any liability related to the pricing, features, or availability of any plan.

e) The listing of any services or activities that are prohibited by applicable laws, government regulations, or public policy is strictly prohibited on the platform.

f) Any such prohibited activities, if carried out, shall be the sole responsibility of the concerned parties, and the platform shall not be responsible for the legal consequences arising therefrom. The ShareCards Application will cooperate with legal and regulatory authorities to ensure that the platform is not misused for unlawful activities.

g) The ShareCards Application operates solely as a digital business networking and card-sharing platform and does not itself provide professional, financial, legal, or advisory services. All information on cards is provided independently by the respective Card Holders.

h) Any contact, consultation, or interaction initiated through a Card Holder’s digital card is at the discretion of the user and should not be treated as a substitute for personal judgment or professional due diligence, and the platform does not assume responsibility for the outcomes of such interactions.

User Care

The user acknowledges and agrees that the ShareCards Application shall not be held liable for the quality, outcome, or suitability of professional interactions or services initiated through digital business cards shared on the platform, or for any issues arising from engagements with third parties, which may result in dissatisfaction, loss, harm, or damage.

a) The non-availability of services, cancellations, delays, rescheduling, or incorrect performance of services by a Card Holder, or any liability arising from engagements initiated through the platform.

b) All information related to Card Holders, including descriptions, availability, contact details, and other details displayed on the platform, is provided by the respective Card Holders. The platform shall not be liable for any changes, inaccuracies, errors, omissions, or unavailability of such information.

c) The ShareCards Application is not and shall not be a party to any arrangement or transaction between a user and a Card Holder and does not exercise any control, involvement, or influence over the interactions entered into by the user. You acknowledge that the platform does not have any ownership, control, or title over the services, which are provided under a direct arrangement between you and the Card Holder.

d) The platform does not provide any warranty or guarantee with respect to the professional conduct or services of Card Holders and disclaims all liability related to the quality, effectiveness, outcome, or performance of such engagements.

e) All commercial and contractual arrangements relating to services, including but not limited to pricing, service scope, duration, applicable taxes, payment terms, cancellation or refund conditions, and post-engagement support, are solely between the user and the Card Holder.

f) The ShareCards Application may, at its discretion, provide certain facilitation or support services to Card Holders such as technology support, communication tools, or customer assistance, pursuant to independent arrangements between the platform and the Card Holders, and such support does not create any responsibility towards recipient users.

g) The platform does not guarantee or endorse any Card Holder or their services, including aspects such as qualifications, identity, legal standing, or suitability, and users are encouraged to conduct their own due diligence and exercise discretion before engaging any Card Holder. While the platform may make reasonable efforts to review information submitted by Card Holders, it does not independently verify or validate such information.

h) Any images, descriptions, or representations displayed on digital business cards are indicative in nature and may not exactly reflect the actual services or credentials of the Card Holder. Users are advised to directly confirm details with the Card Holder prior to initiating any business engagement.

i) As a result of such verification or checks, if the ShareCards Application is not satisfied with the credibility, authenticity, or conduct of a user, it reserves the right to reject service requests, suspend interactions, or disable access to the platform. Any activity on the platform may be delayed, suspended, or cancelled at the platform’s sole discretion to maintain integrity, security, lawful usage, or fair access, including but not limited to suspected misuse, abnormal activity, safety concerns, or violations of platform policies.

Beware of Fraud

a) For assistance related to platform usage, service enquiries, or general support, users are advised to use the official “Help” or “Contact Us” section available within the application.

b) Users should exercise caution while verifying websites, links, social media pages, messages, or calls claiming association with the ShareCards Application, especially those requesting personal or financial information, offering discounts, or seeking advance payments through unofficial channels.

Use of Platform

Subject to compliance with these Terms, the ShareCards Application grants you a personal, non-exclusive, non-transferable, limited, and revocable right to access and use the platform. You agree to use the platform only for purposes permitted under these Terms, in accordance with applicable laws and accepted practices, and solely for creating, sharing, and managing digital business cards. You agree not to engage in any activity that may disrupt, harm, or adversely affect the platform or other users.

a) You agree that the platform or any part thereof shall not be reproduced, duplicated, copied, sold, resold, or exploited for any commercial purpose.

b) You agree not to use framing techniques or otherwise enclose any trademark, logo, or proprietary information belonging to the platform.

c) You agree not to access or attempt to access the platform through any means other than the official interface provided by the application and shall not use automated tools, bots, scraping mechanisms, or similar processes to access or extract content.

d) You agree not to host, upload, publish, transmit, store, or share any information that:

• ·1. belongs to another person without lawful authority,
• ·2. is defamatory, obscene, abusive, harassing, invasive of privacy, or offensive on professional, gender, or cultural grounds,
• ·3. is harmful to children,
• ·4. infringes intellectual property rights,
• ·5. violates any applicable law,
• ·6. impersonates another person or business,
• ·7. threatens national integrity, public order, or security,
• ·8. contains viruses or malicious code,
• ·9. is false, misleading, or intended to deceive or cause harm.

e) You shall not disrupt or interfere with the security, systems, servers, or networks connected to the platform.

f) You shall not violate these Terms or any other applicable platform policies.

g) You shall not reverse engineer, modify, copy, distribute, or create derivative works from any content or software obtained from the platform.

h) You are solely responsible for maintaining the necessary devices, software, and internet connectivity required to access and use the platform.

i) You acknowledge that while using the platform, you may encounter content that some users may find objectionable or sensitive. You agree to use the platform at your own discretion and risk, and the platform shall not be liable for any such content to the extent permitted by law.

Intellectual Property Rights

a) All non-user-generated content on the platform, including but not limited to text, images, graphics, user interfaces, audio, video, design elements, and software code (collectively, “Content”), is owned by or licensed to the ShareCards Application and is protected under applicable intellectual property laws.

b) All trademarks, logos, and service marks displayed on the platform are the licensed property of the platform, and no rights are granted to users to use such marks without prior written consent.

c) The platform does not claim ownership over the intellectual property related to digital business cards or professional information shared by Card Holders and disclaims any rights arising from such content.

d) Any reference to third-party names, services, or marks on the platform is for informational purposes only and does not constitute endorsement or recommendation.

e) Where the platform contains links to third-party websites or services, such links are provided for convenience only, and the platform has no control over or responsibility for the content available on such sites.

f) The name, logo, and branding of the ShareCards Application are protected intellectual property, and any unauthorised use shall constitute infringement. Users agree to respect these rights and report any known infringement to the platform through official communication channels.

Disclaimer of Warranties & Liability

a) You expressly understand and agree that, to the maximum extent permitted under applicable law, your use of the ShareCards Application is at your sole risk.

b) The platform and all related content are provided on an “as is” and “as available” basis, without any warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of accuracy, non-infringement, suitability, reliability, or fitness for a particular purpose. The platform does not warrant that the services listed will meet your expectations, or that access to the platform will be uninterrupted, timely, secure, or error-free.

c) The ShareCards Application shall not be liable for any loss, damage, or harm arising from unauthorised access to or use of your account or account information, whether or not such access occurred with your knowledge.

d) The platform is not obligated to and shall not mediate, resolve, or intervene in any dispute, disagreement, or claim arising between a user and a Card Holder.

e) The platform does not endorse, guarantee, or recommend any Card Holder or professional service listed on the platform. However, upon receiving a written request from a user, the platform may, at its discretion and subject to availability, share limited information about the concerned Card Holder solely to facilitate direct communication for resolution of issues.

f) While reasonable efforts are made to ensure that information on the platform is accurate, the platform does not make any representations or warranties regarding the accuracy, completeness, reliability, or quality of any information, card content, or listings. The platform shall not be responsible for any delay, inability to access, technical failure, or performance issues arising out of the use of the platform.

g) The platform shall not be held responsible for temporary unavailability due to scheduled maintenance, upgrades, technical issues, or any circumstances beyond the reasonable control of the platform.

h) The platform makes no representation that the content or services are appropriate or available for use outside the Republic of India. Users accessing the platform from outside India do so at their own risk and are responsible for compliance with local laws.

i) These Terms do not constitute and shall not be used for any promotional activity or solicitation in any jurisdiction where such activity is unlawful or prohibited.

j) Any pricing, plan details, or availability displayed on the platform may be inaccurate due to technical issues. In such cases, the platform reserves the right to modify or cancel the service arrangement, and the listing shall not constitute a binding agreement.

k) The platform accepts no responsibility for any violation of applicable laws or regulations by Card Holders or third parties in relation to the services offered through the platform.

l) You acknowledge that certain services or offers on the platform may involve third parties, and the platform does not make any representations or warranties regarding such third-party services. The platform shall not be liable for any loss, harm, injury, or adverse outcome arising from the use of such services.

Indemnification and Limitation of Liability

a) You agree to indemnify, defend, and hold harmless the ShareCards Application, its owners, partners, service providers, officers, directors, consultants, agents, representatives, employees, and third-party partners (“Indemnitees”) from and against any and all losses, liabilities, claims, damages, demands, costs, and expenses, including reasonable legal fees, arising out of or resulting from your breach of these Terms or the Privacy Notice, your misuse of the platform, any misrepresentation of information provided by you, violation of applicable laws, or infringement of the rights of any third party, including intellectual property rights.

b) In no event shall the ShareCards Application, service providers, directors, officers, partners, consultants, agents, employees, or affiliated entities be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your access to or use of the platform or any services listed thereon.

c) Notwithstanding anything contained herein, the maximum aggregate liability of the ShareCards Application, service providers, if any, shall not exceed the amount, if any, actually paid by you to the platform for the specific service to which such liability relates.

d) The limitations and exclusions set forth in this section shall apply to the maximum extent permitted under applicable laws.

Violation of These Terms

You agree that any violation of these Terms may cause irreparable harm to the ShareCards Application, for which monetary compensation may be inadequate, and you consent to the platform seeking injunctive or equitable relief, in addition to any other legal or equitable remedies available under law.

Suspension and Termination

a) These Terms shall continue to apply until terminated by either you or the ShareCards Application. If you do not agree with these Terms or are dissatisfied with the platform, you may choose to close your account or discontinue access to the platform at any time.

b) The ShareCards Application may, at its sole discretion, suspend, restrict, or terminate your account or access to the platform if it believes that you have violated these Terms, the Privacy Notice, or have acted unlawfully, unethically, or in a manner detrimental to the platform or other users. All provisions which by their nature are intended to survive termination shall continue to remain in effect.

c) Termination of access shall not relieve you of any obligations incurred prior to termination, including payment obligations for services already availed or agreed upon.

d) You shall remain liable for any fees, charges, or amounts payable in respect of services availed up to the effective date of termination.

Account Deletion and Data Retention

e) User-Initiated Account Deletion
Users may request deletion of their account through the application. Upon submission of a deletion request, the account will be marked for deletion and enter a thirty (30) day retention period.

f) Retention Period
During the retention period, account data will remain stored and accessible. If the user logs in to the account at any time during the thirty (30) day retention period, the deletion request shall be automatically cancelled and the account will remain active.

g) Permanent Deletion
If the user does not log in during the thirty (30) day retention period, the account and all associated data may be permanently deleted. Following permanent deletion, recovery of account information, digital business cards, contacts, shared content, and related data may not be possible.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, and any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka, India.

Grievance Redressal Mechanism

a) For any platform-related issue or service enquiry, you may first contact the in-app support or help section for assistance.

b) You may also write to the platform at the officially designated support email address, and reasonable efforts will be made to resolve your concerns within the timelines prescribed under applicable laws.

c) If your grievance remains unresolved or you are dissatisfied with the response, you may contact the designated Grievance or Nodal Officer of the ShareCards Application, whose details will be made available on the platform in accordance with applicable legal requirements.

Grievance Redressal – Compliance

a) The details of the Grievance-cum-Nodal Officer are provided in compliance with the provisions of the Information Technology Act, 2000 and the rules made thereunder.

b) This grievance mechanism is also aligned with the Consumer Protection (E-Commerce) Rules, 2020, as amended from time to time, to ensure effective user protection.

c) The Grievance Officer of the ShareCards Application shall endeavour to acknowledge user grievances, complaints, or concerns related to the platform, content, or services within forty-eight (48) hours of receipt and shall make reasonable efforts to resolve the same at the earliest and in any event within thirty (30) days of receipt of such grievance. By lodging a complaint or grievance, you agree to cooperate fully with the Grievance Officer and provide such information or assistance as may be reasonably required for resolution.

Notice of Infringement and Take-Down Policy

a) The ShareCards Application maintains a Take-Down Policy that enables intellectual property rights owners to report and seek removal of infringing content or listings from the platform.

b) Intellectual property owners may report content that they believe infringes their rights by submitting a Notice of Infringement. While the platform does not independently verify ownership of intellectual property rights of content uploaded by third parties, it is committed to protecting legitimate intellectual property rights.

c) Steps to report infringing content include submitting a written notice to the designated legal contact of the platform containing the following details:

• ·Identification or description of the copyrighted work, trademark, or intellectual property alleged to be infringed, along with platform listing details and supporting material
• ·Your contact details
• ·A declaration that you have a good-faith belief that the disputed use is not authorised by the rights holder, its agent, or the law
• ·A statement confirming that the information provided is accurate and that you are the rights holder or authorised to act on their behalf
• ·Any additional information that may support your claim

Platform Actions on Infringement

a) Upon receipt of a valid and complete notice and subject to verification, the ShareCards Application may remove or disable access to the allegedly infringing content.

b) The platform may also notify the concerned content provider about the infringement notice and share a copy of the same.

c) The platform reserves the right to take any additional actions as permitted under applicable law.

Communications

a) You expressly consent to receive communications from the ShareCards Application via SMS, telephone calls, VoIP calls, messaging applications such as WhatsApp, and electronic communications such as emails on your registered contact details.

b) You expressly consent to the monitoring or recording of communications between you and the platform or its authorised representatives for quality, training, or legal purposes, as permitted by applicable law.

c) You may opt out of receiving promotional communications, in which case the platform will continue to send only service-related or mandatory communications required for platform usage.

General Provisions

Notice: a) All notices from the ShareCards Application shall be communicated via registered email, messaging applications, or in-app notifications.

Assignment: b) You may not assign or transfer your rights or obligations under these Terms. The platform may freely assign or transfer its rights and obligations to affiliates, successors, or third parties without requiring user consent.

Severability: c) If any provision of these Terms is held invalid or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

Force Majeure: d) The platform shall not be liable for failure or delay in performance due to events beyond reasonable control, including acts of God, natural disasters, war, strikes, pandemics, government restrictions, technical failures, or third-party service disruptions.

Advertisements

a) The platform may display advertisements from third-party advertisers. The ShareCards Application does not endorse such advertisements and disclaims liability for the content, accuracy, or legality of third-party advertisements. Any interaction or transaction with advertisers is solely between you and the advertiser.

b) Third-party advertisers are required to comply with applicable laws, platform policies, and any contractual obligations applicable to advertising on the platform.

c) The platform reserves the right to remove or seek substantiation for any advertisement that is misleading, unlawful, or in violation of advertising standards or regulatory guidelines.

d) Users may report inappropriate or unlawful advertisements to the platform through official communication channels.

e) For charitable or donation-related information displayed on the platform, the platform does not control or manage funds and bears no responsibility for such campaigns. Users are advised to independently verify details before participating.

Amendments

The ShareCards Application reserves the right to modify, update, or amend these Terms at any time. Updated Terms shall be effective upon posting on the platform. Continued use of the platform after such changes constitutes acceptance of the revised Terms.

Transition

a) The platform may undergo operational or ownership transition, details of which shall be communicated to users in advance.

b) Users expressly consent to the transfer of necessary user information, including payment-related data, to ensure continuity and seamless platform experience, subject to applicable data protection laws.

Entire Agreement

These Terms, together with the Privacy Notice and any additional policies published by the ShareCards Application from time to time, constitute the entire agreement between you and the platform and supersede all prior understandings or arrangements relating to platform access or usage.
